  1. ACCEPTANCE OF TERMS

    By accessing, registering on, or using The Goodwill Network platform, website, applications, tools, or services (collectively, the “Platform”), you (“User”) confirm that you have read, understood, and agreed to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Platform.

  2. NATURE OF THE PLATFORM

    2.1 The Goodwill Network is a technology platform that provides tools for freelancers, producers, and other users to create, generate, send, store, and manage professional identities, agreements, invoicing, scheduling, and related documentation.

    2.2 The Goodwill Network does not act as a party to any agreement created, generated, executed, or managed through the Platform.

    2.3 The Platform does not provide legal advice, financial advice, or tax representation. Any agreement generated through the Platform is based solely on information entered by the Users.

  1. USER ACCOUNTS, SECURITY & ELIGIBILITY

    3.1 Registration: You must provide accurate information via our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your credentials.

    3.2 Account Responsibility: You are solely responsible for all activity occurring under your account. You must notify us immediately of any unauthorized use.

    3.3 Eligibility: Users must be at least 18 years of age and possess the legal capacity to enter into binding contracts.

  2. SUBSCRIPTIONS, PAYMENTS & REFUNDS

    4.1 Plans: Access to certain features is gated by subscription tiers (Starter, Booked & Busy, Topliner, etc.).

    4.2 Billing: Payments are processed via Razorpay. By subscribing, you authorize recurring billing based on your selected cycle.

    4.3 Usage Caps: Each tier has specific limits on Agreements, Productions, or showcase entries. Attempting to bypass these limits is a material breach of these Terms.

    4.4 No Refunds: Unless required by law, all subscription fees and "extra usage" purchases are non-refundable.

  1. THE GOODWILL RATING SYSTEM

    5.1 Purpose: The Goodwill Score is a proprietary metric used to reflect professional reliability within the network.

    5.2 Calculation: Scores are adjusted based on peer feedback, dispute outcomes, and platform activity.

    5.3 Audit Rights: The Company reserves the exclusive right to manually adjust scores in cases of verified fraud, harassment, platform misuse, or to maintain network integrity.

    5.4 No Guarantee: A high Goodwill Score does not constitute a guarantee of performance or safety by the Company.

  1. USER REPRESENTATIONS AND WARRANTIES

    By creating, sending, signing, or accepting any agreement through the Platform, you expressly represent and warrant that:

    6.1 Accuracy: All information, tax details (PAN/GSTIN), and banking data entered by you are true, complete, and not misleading.

    6.2 Authority: You have the legal capacity and authority to enter into agreements, either on your own behalf or on behalf of an entity you represent.

    6.3 Sound Mind: You are entering into agreements of your own free will, without coercion or pressure.

    6.4 Understanding: You fully understand the legal implications of any agreement generated or signed via the Platform.

  2. NO LIABILITY FOR AGREEMENTS OR PERFORMANCE

    7.1 The Goodwill Network does not guarantee, verify, monitor, or enforce the performance of obligations by any party. We are not responsible for non-payment, delivery failure, or breach of contract between Users.

    7.2 Any agreement entered into via the Platform is a private, independent contract between the respective parties.

    7.3 We are not liable for misrepresentation, fraud, or concealment of facts by any User.

  1. ABSOLUTE LIMITATION OF LIABILITY

    8.1 To the maximum extent permitted under applicable law, The Goodwill Network, its founders, directors, officers, employees, contractors, and partners SHALL NOT BE LIABLE for any direct, indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or reputation.

    8.2 Our total cumulative liability for any claim arising out of these Terms or the use of the Platform shall not exceed the total amount paid by you to the Company in the 12 months preceding the event giving rise to the claim.

  2. INDEMNITY BY USERS

    You agree to indemnify, defend, and hold harmless The Goodwill Network and all associated persons from and against any and all claims, damages, losses, costs, and legal fees arising out of or related to: your use of the Platform, any agreement you sign, any false information you provide, or any dispute with another User.

  3. NO GUARANTEE OF LEGAL ENFORCEABILITY

    The Goodwill Network makes no representations regarding the legal enforceability or sufficiency of any generated agreement. Users are encouraged to seek independent legal advice to ensure compliance with local and industry-specific regulations.

  4. WAIVER OF LEGAL ACTION AND CLASS ACTION

    11.1 BY USING THE PLATFORM, YOU EXPRESSLY AND IRREVOCABLY WAIVE AND FORFEIT ANY RIGHT TO INITIATE, PURSUE, OR PARTICIPATE IN ANY LEGAL ACTION, LAWSUIT, COMPLAINT, CLASS ACTION, OR JUDICIAL PROCEEDING AGAINST: The Goodwill Network, its founders, employees, affiliates, advisors, or partners.

    11.2 This waiver applies to all matters arising from: Use of the Platform, Agreements created/executed through the Platform, interactions with other Users, or the calculation of Goodwill Scores.

    11.3 You agree that any dissatisfaction with the Platform shall be resolved solely through the Company's internal support and dispute mechanisms.

  5. PROHIBITED CONDUCT

    Users agree not to:

    12.1 Use the platform for fraudulent or illegal activity.

    12.2 Harass, threaten, or defame other Users.

    12.3 Use automated bots to scrape data or manipulate Goodwill Scores.

    12.4 Attempt to bypass platform usage restrictions or security measures.

  6. INTELLECTUAL PROPERTY

    13.1 Platform IP: The Good Will Network name, logo, software code, and proprietary tools are the exclusive property of the Company.

    13.2 User Content: You grant the Company a limited license to host and display your portfolio/profile data for the purpose of operating the Platform.

  7. TERMINATION

    14.1 By User: You may cancel your subscription at any time.

    14.2 By Company: We reserve the right to suspend or terminate your account without notice for violations of these Terms, non-payment, or conduct that harms the reputation of the network.

  8. ROLE OF ELECTRONIC RECORDS

    You consent to the use of electronic records and signatures and acknowledge their validity under the Information Technology Act, 2000.

  9. GOVERNING LAW AND JURISDICTION

    These Terms shall be governed by and construed in accordance with the laws of India. Courts at Mumbai, India shall have exclusive jurisdiction.

  10. SEVERABILITY & ENTIRE AGREEMENT

    17.1 If any provision is held invalid, the remaining provisions remain in full force.

    17.2 These Terms constitute the entire agreement between you and The Goodwill Network regarding the Platform.
